This document (the “Disclaimer”) has been created by Onside Law LLP (“Onside”). It is intended for you (the “Recipient”) and the Recipient’s professional advisers and/or agents only and is strictly private and confidential so must not be disclosed to any other person or used for any reason other than as permitted by this Disclaimer. It is being provided to interested sports and entertainment talent for information purposes only to assist the Recipient in deciding whether it wishes to receive access to independent career, general business and life-after sport advice and mentorship (the “Purpose”) from third party mentors (the “Mentors”). Mentors have no specific qualifications, their advice is not investment advice or related to a financial promotion under section 21 of the Financial Services and Markets Act (FSMA) or as defined by any other applicable laws, rules and regulations.

Onside, the Mentors and the Recipient together shall mean the “Parties”.

Onside, its officers and employees do not give any representations or warranties as to the accuracy, reliability, or completeness of the information in this Disclaimer or in connection with the Purpose. Onside reserves the right, without giving reasons, at any time and in any respect, to amend any of the details contained within the Disclaimer in connection with the Purpose.

Onside and the Recipient agree and acknowledge the following:

  1. In providing the Purpose, Onside and the Mentors have made no secret or undisclosed profits and have at all times acted in accordance with all applicable laws, rules and regulations.
  2. This Disclaimer constitutes the entire agreement between the Parties and supersedes all other agreements or arrangements, whether written or oral, express or implied, between all or any them.
  3. The Recipient undertakes that it will at all times keep strictly confidential, will not use (other than strictly for the purposes of this Disclaimer) and will not disclose to any third party (without the prior written consent of Onside and the Mentors) all information relating to the Onside and the Mentors that it receives in connection with this Disclaimer (“Confidential Information”), including, without limitation, the existence and terms of this Disclaimer. This paragraph 3 shall apply to Confidential Information in each case whether in oral, written, electronic, visual or machine-readable form and whether or not such information is expressly stated to be confidential and marked as such.
  4. The Recipient is aware that it is their sole obligation to seek advice from someone who specialises in advising on investments and seek independent legal advice.
  5. The Recipient shall hold the Mentors and Onside (and its officers and employees) harmless, from and against any claim, demand, action, loss, cost, damage or expense whatsoever arising out of or in connection with any actions the Recipient takes as a result or in connection with the Purpose.
  6. Under no circumstances will the Mentors and Onside (and its officers and employees) be liable to the Recipient or any third party in contract, tort, or otherwise, for any indirect, incidental, special, consequential, punitive, exemplary, or similar damages that result from the Parties’ performance or non-performance hereunder, including but not limited to loss of revenue or lost profits, even if the Recipient had been advised of the possibility of such damages. The Mentors are not employees of Onside and Onside shall not be liable for any of their acts or omissions.
  7. This Disclaimer constitutes a legally binding agreement between the Parties and shall be governed by the laws of England and Wales. The Parties irrevocably agree that the courts of England and Wales have exclusive jurisdiction to settle any dispute or claim that arises out of, or in connection with, this letter or its subject matter or formation (including non-contractual disputes or claims).

Prior to being connected with a Mentor for the Purpose, the Recipient represents and warrants that it has read and fully understood the terms of this Disclaimer and agrees to comply with them.
